1. About these terms

1.1 These terms are between Chillishot Limited, company number 06493118, trading as Footer365 ("Footer365", "we"), and each organisation that takes part in its referral scheme: an organisation that refers another (the "referrer") and an organisation that signs up through a referral link (the "new company"). They are terms of a scheme under section 2.3 of the Customer Agreement, and form part of it for as long as the organisation takes part, and afterwards for anything that arose while it took part. A word defined in the Customer Agreement has the same meaning here.

1.2 The scheme runs only while Footer365 has it open. When it is closed, no link is offered and no new referral is recorded, as section 9 describes.

2. Referring a company

2.1 Who can refer. A referrer must be a customer that Footer365 invoices directly, on invoices Footer365 raises itself, with no reseller, whose account is enabled and whose paid subscription is active. A customer billed through a reseller or distributor cannot take part, and nor can a reseller or distributor itself.

2.2 Your link. Billing > Refer a company in the customer portal shows your organisation's link. Anyone at your organisation who can view billing can see and copy it.

2.3 Sharing it. You may share your link with organisations you know. You must comply with the Acceptable Use Policy and with marketing law when you do, must not say anything about Footer365 or the service beyond what Footer365 publishes, and must not present yourself as Footer365 or as acting for it. Share your link only in messages you write yourself to people you know, never in bulk or unsolicited marketing. You will indemnify Footer365 against any claim by a third party or a regulator arising from how you shared it, as if it were a claim under section 9.6 of the Customer Agreement. You are not Footer365's agent.

2.4 Your name. You choose, under "Show our name to the companies we refer", whether a company signing up through your link sees your organisation's name. Only someone who can manage billing at your organisation, signed in with their own account, can change it.

3. Who can be referred

3.1 A referral is recorded when an organisation signs up as a new customer of Footer365 through your link. Our website carries your link's code through the visit that began with it. If the visitor agrees when our website asks whether to remember the offer on their browser, it remembers the code for the period shown on Refer a company. Without that agreement it does not keep the code after the visit, so a company that comes back later without opening your link again is not recorded as referred.

3.2 A referral is refused, and earns nothing for either side, if:

  • the new company signed up from your own Microsoft 365 tenant, or shares a verified domain with your organisation, checked when it signs up and again before any reward is given;
  • Footer365 already held a record of the new company, or a reseller had added it;
  • the new company has had a Footer365 trial before, so that signing up does not give it a free trial;
  • your organisation could not refer under section 2.1 when the new company signed up.

The reason for a refusal is recorded and shown to Footer365.

4. What the new company gets

4.1 Its first paid month free. Once the new company's paid subscription has started after its free trial, while Footer365 invoices it directly with no reseller and its subscription is active, Footer365 credits one month's price for its seats, at its own rate, from the day its paid service started, on its next invoice.

4.2 This is given once, and only to a new company whose referral was recorded and not refused or withheld.

5. What the referrer gets

5.1 Your share. For each invoice the new company pays Footer365 for a period that starts in its first year of billing, you are given a credit of the share shown on Refer a company of what that invoice charged before VAT, less anything later credited back on it. Its first year of billing is the first 12 whole calendar months for which it is billed, together with any days before the first of them.

5.2 The cap. The credit given to your organisation in a calendar year is at most the yearly limit shown on Refer a company. A credit that would take you over the cap is reduced to it, and nothing more is given in that year.

5.3 The figures that apply. The share and the yearly limit that apply to a referral, and the period the website remembers a link for, are those shown on Refer a company on the day the new company signed up, and Footer365 records the share and the yearly limit with the referral. A later change to them applies only to companies that sign up after it.

5.4 How credit is given. A credit reduces what Footer365 invoices your organisation, before VAT, on its next invoice. Credit has no cash value and is never paid out or refunded. If your organisation's account is closed, any credit left is set against your final invoice, and whatever remains after that lapses. Credit not yet applied when Footer365 stops invoicing your organisation directly, for example because a reseller starts to bill you, lapses too.

5.5 While you can refer. No credit is given for an invoice the new company pays while your organisation cannot refer under section 2.1, judged by the day the invoice was paid, for example while a reseller bills you or after your subscription has ended.

5.6 Credit taken back. If an invoice that earned a credit is later credited back to the new company in whole or in part, your credit for it is reduced to match, by a charge on your next invoice.

6. Withholding a referral

Footer365 may withhold a referral it reasonably believes is not genuine or is an abuse of the scheme, such as a company signed up only to earn a reward. It tells your organisation why, by email to its account owner and accounts contact and beside the company on Refer a company. Once a referral is withheld, nothing more is given for it to either side.

7. Personal data

Footer365 records which organisation referred which, when the new company signed up, how its subscription stands and what each side was given, as its privacy policy describes. The referrer sees the name, signup date and status of each company it referred.

8. Your agreements still apply

Taking part changes nothing else in the Customer Agreement, and neither the referrer nor the new company owes anything to the other under these terms.

9. Changes and closing the scheme

9.1 Footer365 may change these terms, or close the scheme, by publishing a new version. A change applies only to companies that sign up after it takes effect.

9.2 If the scheme closes, no new referral is recorded from then. A referral recorded before it closed keeps earning under the terms that applied to it.
